GENERAL TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS: By engaging with Elem Solutions Pty Ltd ("the Company"), you acknowledge and agree to the terms and conditions outlined herein. These terms govern the provision of digital marketing services by Elem Solutions Pty Ltd.

2. DEFINITIONS:

  • "Client" refers to the party engaging the services of Elem Solutions Pty Ltd.

  • "Services" refers to the digital marketing services provided by Elem Solutions Pty Ltd.

3. ENGAGEMENT OF SERVICES: The Client engages Elem Solutions Pty Ltd for the provision of digital marketing services as described in the mutually agreed-upon proposal or statement of work.

4. PAYMENT TERMS: Payment for services is due within 5 business days from the invoice date. Elem Solutions Pty Ltd accepts payments via PayPal, credit card, and bank transfer. Late payments may incur a 1.5% monthly finance charge. Unpaid balances after 10 days may result in legal action after 20 days, with or without communication.

5. REFUNDS AND CANCELLATION: All service sales are final, and refunds are not provided. In the event of cancellation by the Client, any outstanding fees for work completed or in progress are payable.

6. INTELLECTUAL PROPERTY: All intellectual property rights associated with the digital marketing services, including but not limited to creative content, designs, and strategies, remain the property of Elem Solutions Pty Ltd unless otherwise agreed in writing.

7. CLIENT'S RESPONSIBILITIES: The Client agrees to provide necessary information, access, and cooperation for the effective provision of digital marketing services. Failure to do so may impact the quality and timeliness of service delivery.

8. CONFIDENTIALITY: Both parties agree to treat confidential information with the utmost care and not to disclose it to third parties without written consent.

9. DISCLAIMER OF WARRANTIES: Elem Solutions Pty Ltd makes no warranties, expressed or implied, regarding the results of digital marketing services, and the Client acknowledges that outcomes may vary.

10. LIMITATION OF LIABILITY: Elem Solutions Pty Ltd's liability for any claim, including but not limited to errors or omissions, shall not exceed the total amount paid by the Client for the specific service in question.

11. SOUTH AFRICAN LAW & JURISDICTION: This agreement shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the South African courts.

12. AMENDMENTS: Elem Solutions Pty Ltd reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes, and continued engagement implies acceptance of the revised terms.

13. GENERAL PROVISION:

  • Elem Solutions Pty Ltd may assign or subcontract any or all of its rights and obligations under this agreement.

  • No waiver by either party of any breach or default under this agreement shall be deemed a waiver of any subsequent breach or default.

  • In the event that any provision of this agreement is deemed invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

TERMS OF SERVICE

1. Acceptance of Terms: 1.1 By accessing this site or using Elem Solutions Pty Ltd's products, you agree to comply with the terms and conditions outlined here and any applicable laws or regulations.

1.2 Elem Solutions Pty Ltd provides contact information for enquiries, product purchases, and limited support. The client agrees not to provide proprietary or confidential information unless explicitly requested.

1.3 Personal information is collected for sales and support purposes only, and Elem Solutions Pty Ltd commits not to share it with third parties, except as required by law.

1.4 Elem Solutions Pty Ltd may send emails about new products and services. Clients can opt-out by replying to the message.

1.5 Clients must promptly notify Elem Solutions Pty Ltd of any service problems. Elem Solutions Pty Ltd will make best efforts to address and resolve issues promptly.

1.6 Elem Solutions Pty Ltd is not liable for any loss of client data resulting from service provision.

DOMAIN SERVICES TERMS & CONDITIONS: 2.1 Elem Solutions Pty Ltd will register and/or forward domain names per client instructions and specified charges.

2.2 Clients acknowledge domain registration is subject to authority rules; Elem Solutions Pty Ltd cannot guarantee registration.

2.3 Clients warrant lawful domain ownership and indemnify Elem Solutions Pty Ltd against claims arising from domain use.

2.4 Domain renewal invoices are sent 3 months in advance. Failure to renew may result in domain suspension.

WEB SITE HOSTING TERMS & CONDITIONS: 3.1 Elem Solutions Pty Ltd will host client websites, provide internet access, allocate disk space, and take reasonable security measures.

3.2 Clients are responsible for website backups. Elem Solutions Pty Ltd is not liable for website loss.

E-MAIL TERMS AND CONDITIONS: 4.1 Elem Solutions Pty Ltd provides email services at specified charges.

4.2 Elem Solutions Pty Ltd is not responsible for mail delivery failure or mail loss.

DISCLAIMER FOR LIABILITY: 5.1 Elem Solutions Pty Ltd services are provided "as is." No warranty is given for uninterrupted service or virus-free materials.

5.2 Clients indemnify Elem Solutions Pty Ltd against liability for factors beyond reasonable control, downtime, data inaccuracies, or security breaches.

APPLICABLE LAW AND JURISDICTION: This agreement is governed by South African law, and any disputes fall under the exclusive jurisdiction of South African courts.

GENERAL: 7.1 Elem Solutions Pty Ltd services are contract-free and billed monthly.

7.2 Cancellations follow the client's reasonable request.

7.3 Discounts may apply for annual payments.

7.4 Various payment methods are accepted.

7.5 Debit orders are canceled immediately upon request.

GENERAL PROVISIONS: 8.1 No extension or indulgence constitutes a waiver. This document is the sole agreement record.

8.2 Changes may occur, and clients are responsible for monitoring updates.

FEES AND PAYMENT: 9.1 Published fees apply, and payment is due on invoicing.

9.2 Services are activated upon full payment.

9.3 Elem Solutions Pty Ltd may suspend services for unpaid invoices.

9.4 Elem Solutions Pty Ltd may deny service for suspected fraud or illegal activity.

ACTIVATION AND PROVISIONING OF FIBRE SERVICE TERMS & CONDITIONS: 10.1 Login details are sent upon receipt from the fiber provider.

10.2 Pro Rata invoicing occurs on activation, followed by monthly advance invoices.

10.3 Invoices are due three days before the 10th, with automated suspension for unpaid invoices.

10.4 One month's notice is required for fiber service cancellations.

10.5 Elem Solutions is not liable for temporary interruptions and will notify clients of service loss.

CANCELLATIONS: 11.1 Cancellations result in permanent data removal.

11.2 Clients must back up data; Elem Solutions is not liable for data loss after the hosting term.

11.3 Elem Solutions' backups are for legal purposes only.

Important Note: There are two main types of personal information: Identifiable personal data and Non-identifiable personal data

  1. Identifiable data includes a customer's name, address, telephone numbers, gender, IP address, billing information, etc.

  2. Non-identifiable data includes a postal code, date and time of site access, pages visited, type of browser, operating system, and type of personal computer.

Under the Regulation of Interception of Communications and Provision of Communications-Related Information Act, 2002, Elem Solutions Pty Ltd is obligated to obtain and retain identifiable personal data of customers entering service contracts. This includes additional information based on customer type.

Section 51 Manual

Introduction

This Manual is published in terms of Section 51 of the Promotion of Access to Information Act, 2000 (Act No. 2 of 2000) ("the Act"). The Act gives effect to the provisions of Section 32 of the Constitution, which provides for the right of access to information held by the State and to information held by another person that is required for the exercise and/or protection of any right.

The reference to any information in addition to that specifically required in terms of Section 51 of the Act does not create any right or entitlement (contractual or otherwise) to receive such information, other than in terms of the Act.

Elem Solutions Pty Ltd - Overview

Elem Solutions Pty Ltd provides Internet Services and Access to its customers, in both the corporate and home market. Some of these services include, but are not limited to, hosting, website design, domain name registration, and email.

Elem Solutions Pty Ltd supports the constitutional right of access to information and is committed to providing access to records in accordance with the provisions of the Act, the confidentiality owed to third parties, and the principles of South African law.

Availability of this Manual

A copy of this Manual is available by sending a request for a copy to the Information Officer by email. The Manual may also be obtained from the South African Human Rights Commission ("SAHRC") at the addresses set out below. This Manual will be updated from time to time, as and when required.

How to Request Access to Records Held by Elem Solutions Pty Ltd

Requests for access to records held by Elem Solutions Pty Ltd must be made on the request form that is available on our website, from the SAHRC website (www.sahrc.org.za), or the Department of Justice and Constitutional Development (www.doj.gov.za) (under “regulations”). Note that requests need not be accompanied by payment BUT will only be processed upon payment of the prescribed fees.

Requests for access to records must be made to our Information Officer at the address, fax number, or electronic mail address provided below.

The requester must provide sufficient detail on the request form to enable the Information Officer to identify the record and the requester. The requester should also indicate which form of access is required and indicate if he or she wishes to be informed in any other manner and state the necessary particulars to be so informed.

The requester must identify the right that he or she is seeking to exercise or protect and provide an explanation of why the requested record is required for the exercise or protection of that right.

If a request is made on behalf of a person, the requester must then submit proof of the capacity in which the requester is making the request to the satisfaction of the Information Officer of Elem Solutions Pty Ltd.

The standard form that must be used for the making of requests is attached as annexure 1. Not using this form could cause your request to be refused (if you do not provide sufficient information or otherwise) or delayed.

Kindly note that all requests to Elem Solutions Pty Ltd will be evaluated and considered in accordance with the Act. Publication of this manual and describing the categories and subject matter of information held by Elem Solutions Pty Ltd does not give rise to any rights (in contract or otherwise) to access such information or records except in terms of the Act.

ACCEPTABLE USE POLICY (AUP)

1. Acceptance of Terms: By accessing Elem Solutions Pty Ltd's digital marketing services or contracting with us, you agree to be bound by this Acceptable Use Policy (AUP). It is essential to read and understand this policy, along with the associated terms and conditions, as well as any additional rules or policies displayed in connection with our services.

2. Compliance with Laws: Users of Elem Solutions Pty Ltd's digital marketing services must adhere to all relevant laws of the Republic. This includes but is not limited to laws governing child pornography, obscenity, discrimination, hate speech, intellectual property, privacy, fraud, exchange control, and other applicable regulations.

3. ISPA Membership and Code of Conduct: Elem Solutions Pty Ltd is a member of the Internet Service Providers' Association (ISPA) and adheres to its official Code of Conduct. The ISPA Code of Conduct can be viewed at ISPA Code of Conduct.

4. Unlawful Use: Elem Solutions Pty Ltd services may only be used for lawful purposes. Unlawful use includes, but is not limited to, activities that violate laws related to child pornography, discrimination, hate speech, intellectual property, privacy, fraud, and exchange control.

5. Threats to Network Security: Activities that threaten the functioning, security, and integrity of Elem Solutions Pty Ltd's network are strictly prohibited. This encompasses unauthorized access attempts, hacking, forging headers, breaching security, and any activity that disrupts the service through denial of service attacks or unauthorized probes.

6. Public Space and Third Party Content: Elem Solutions Pty Ltd does not control the content of information passing over the Internet and disclaims responsibility for third-party content or sites. Users access third-party content at their own risk, and Elem Solutions Pty Ltd is not liable for any loss or damage incurred as a result.

7. Usenet Newsgroups: Users engaging in Usenet newsgroups must comply with guidelines, including avoiding excessive cross-posting, posting irrelevant material, posting binaries to non-binary newsgroups, and refraining from posting ads or solicitations without explicit newsgroup permission.

8. Unsolicited, Spam, and Junk Mail: Elem Solutions Pty Ltd prohibits spam and unsolicited bulk mail. Users are not allowed to send unsolicited bulk mail for any purpose, operate mailing lists without recipient permission, or engage in any activity that compromises network security through spam or junk mail.

9. Privacy and Confidentiality: Elem Solutions Pty Ltd respects user privacy and confidentiality. Users are encouraged to review the privacy policy, which outlines the collection and use of personal information during service operation.

10. User Responsibilities: Users are responsible for preventing misuse of Elem Solutions Pty Ltd services through their accounts. This includes not replying to unsolicited mail, protecting minors from harm, and ensuring compliance with applicable customs and exchange control laws.

13. Action following Breach of the AUP: Upon receiving a complaint or becoming aware of a violation, Elem Solutions Pty Ltd may take various actions, including informing network administrators, suspending access, charging for administrative costs, assisting investigations, or instituting civil or criminal proceedings.

14. Reservation and Non-Waiver of Rights: Elem Solutions Pty Ltd reserves the right to amend this AUP, take action against violators, monitor network traffic for security, and remove offensive content. The company does not guarantee the security of data passing through its networks and holds users responsible for safeguarding their data.
